Terms of Service
Binding rules for platform use, subscriptions, lead credits, payments, suspension, termination, and liability.
1. Binding Agreement
These Terms of Service form a legally binding agreement between you and the operator of Top Expert Local. By accessing the platform, creating an account, publishing content, submitting or claiming a lead, purchasing a subscription, buying lead credits, or using any paid or transactional feature, you confirm that you have read, understood, and agreed to these Terms and all policies incorporated by reference. If you do not agree, do not use the platform and do not make a payment.
2. Marketplace Role
Top Expert Local operates a technology marketplace, directory, lead platform, and business-management environment. Except where expressly stated in writing, the platform operator is not the provider of professional services listed by third parties, is not an employer, agent, partner, fiduciary, guarantor, insurer, or representative of any provider or customer, and does not guarantee qualifications, licensing, availability, pricing, quality, suitability, results, revenues, lead conversion, or business outcomes.
3. Accounts and Authority
You must provide accurate information, maintain secure credentials, and ensure that every person acting through your account is authorized. Business users represent that they have authority to bind the relevant business or organization. You are responsible for activity conducted through your account except to the extent caused solely by the platform operator's proven misconduct.
4. Payments Are Final
All payments are for intangible digital access, marketplace functionality, subscriptions, lead-access rights, lead credits, visibility, publishing tools, account features, or other digital services. Except where a refund, reversal, cancellation right, or remedy is required by non-waivable applicable law, all sales are final and all amounts paid are non-refundable, non-returnable, non-exchangeable, and not redeemable for cash, including unused time, unused features, unused lead credits, unclaimed leads, expired access, unsuccessful leads, lack of response, dissatisfaction, account inactivity, suspension, or termination.
5. Subscriptions and Renewal
Recurring subscriptions renew at the interval disclosed at checkout until cancelled through the available account controls or another method required by law. Cancellation stops future renewal but does not create a refund or credit for the current billing period. Lifetime plans provide access for the supported life of the applicable product or service, remain subject to plan limits, fair-use rules, feature changes, and termination rights, and do not guarantee perpetual availability of any particular feature.
6. Lead Credits and Lead Access
Lead credits are limited, revocable contractual permissions to use specified platform functions. They are account-bound, have no monetary or stored-value status, cannot be transferred, resold, withdrawn, redeemed for cash, or used outside Top Expert Local, and are non-refundable except where required by law. A lead purchase provides access to the information and workflow made available at the time of purchase; it does not guarantee that the requester will respond, hire, pay, or proceed.
7. Platform Changes and Discontinuation
To the fullest extent permitted by law, the operator may add, remove, modify, suspend, restrict, replace, or discontinue any feature, service, plan, credit rule, marketplace category, account privilege, or part of the platform at any time. The operator may establish or revise reasonable limits, including storage, usage, lead claims, teams, locations, publication, and account activity.
8. Suspension and Termination
To the fullest extent permitted by law, the operator may investigate, restrict, suspend, deactivate, or terminate any account, listing, content, subscription, payment privilege, lead access, credit balance, or service at any time, with or without prior notice, where the operator reasonably considers it necessary to protect users, enforce policies, address risk, comply with law, prevent abuse, preserve platform integrity, respond to non-payment, or for another legitimate business or operational reason. Termination does not create a right to a refund except where required by law. Provisions concerning payments, ownership, licences, disclaimers, indemnity, liability, disputes, and enforcement survive termination.
9. User and Provider Responsibilities
Users and providers are solely responsible for due diligence, contracts, licences, insurance, taxes, privacy compliance, professional obligations, service delivery, payment between users, and legal compliance. You must not use platform data for scraping, resale, harassment, unrelated marketing, unlawful discrimination, fraud, or any purpose inconsistent with the original transaction.
10. Content and Licence
You retain ownership of content you submit, but grant the operator a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, adapt, format, publish, distribute, display, moderate, and promote that content as reasonably necessary to operate, secure, improve, and market the platform. You warrant that you have all rights needed to grant this licence.
11. Disclaimer
The platform is provided “as is” and “as available.” To the fullest extent permitted by law, the operator disclaims all express, implied, statutory, and collateral warranties, including merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy, security, and results. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
12. Limitation of Liability
To the fullest extent permitted by law, the operator and its owners, directors, officers, employees, contractors, affiliates, licensors, and service providers are not liable for indirect, incidental, consequential, exemplary, punitive, or special damages; loss of profit, revenue, business, data, opportunity, goodwill, or anticipated savings; or claims arising from third-party conduct. Where liability cannot be excluded, aggregate liability is limited to the greater of the amount paid by you for the affected service during the preceding three months or CAD $100, except where a different minimum remedy is required by law.
13. Indemnity
To the extent permitted by law, business users and providers agree to defend, indemnify, and hold harmless the operator and related persons from third-party claims, losses, liabilities, penalties, costs, and reasonable legal fees arising from their services, content, account activity, breach of these Terms, infringement, privacy violation, tax obligations, or unlawful conduct.
14. Mandatory Law
Nothing in these Terms waives or limits any consumer right, cancellation right, statutory warranty, chargeback right, privacy right, or other protection that cannot lawfully be waived. Where mandatory law conflicts with these Terms, that law applies only to the extent of the conflict.
